Well Fred Terms of Service

Well Fred is a peer-to-peer marketplace that enables individuals and small businesses ("Providers") to list, advertise, and deliver services directly to other users ("Users").

We provide the digital infrastructure only. We do not employ, supervise, or insure any Provider or User, and we do not control or guarantee the quality, timing, legality, or safety of any service offered or received.

Your use of the Platform creates a direct relationship between you and the other party to any booking, not with Well Fred.

You must be at least 18 years old and legally capable of entering into binding contracts.

By registering, you confirm that the information you provide is accurate and that you will use the Platform for lawful purposes only.

• Providers may create profiles, list services, and set their own pricing and schedules.
• Users may browse listings, message Providers, and confirm bookings.

A booking is considered accepted only when both parties confirm the details through the Well Fred messaging system ("DM Portal").

Well Fred may, at its discretion, verify identities, listings, or qualifications, but such verification is not a guarantee or endorsement.

Payments are arranged directly between Users and Providers.

Well Fred does not currently operate an escrow, hold client funds, or process payments on your behalf.

If a dispute arises — including late cancellations, no-shows, or refund requests — email [email protected] within 7 days. We will review the matter and may, at our sole discretion, facilitate communication or propose a resolution, but we are not obligated to reimburse, compensate, or enforce any payment.

We strongly encourage all parties to confirm details clearly before booking.

All cancellations must be made on the Platform.

Repeated late cancellations or failure to appear for confirmed sessions may result in temporary suspension or permanent removal from the community.

Transparency is essential to community trust.

After each first-time session between a User and a Provider, both parties must submit a review within seven (7) days of completion.

If that pair has already exchanged reviews from a prior booking, a new review is optional.

Failure to provide the required review within seven days will automatically suspend the account's booking privileges until the review is completed.

All reviews must be honest, respectful, and relevant. Well Fred reserves the right to remove or redact reviews that violate the Community Guidelines or applicable law.

You agree not to:

• Post, transmit, or share unlawful, defamatory, obscene, or discriminatory material.
• Promote or engage in illegal activities or the sale of prohibited goods or services.
• Harass, threaten, defraud, or abuse other members.
• Impersonate another person or misrepresent your affiliation.
• Use the Platform in any way that could damage or disable it.

Violation of these rules may lead to immediate account termination and possible legal action.

Your privacy is important to us. Our Privacy Policy explains how we collect, use, and safeguard personal data.

By using the Platform, you consent to those practices.

We may store or process information in the United States, Costa Rica, or other jurisdictions where we or our service providers operate.

All content, branding, graphics, and software on the Platform are owned by or licensed to Well Fred Inc.

You may not copy, distribute, or modify any part of the Platform without prior written consent.

The Platform and all related services are provided "as is" and "as available."

To the fullest extent permitted by law, Well Fred disclaims all warranties, express or implied, including any warranties of merchantability, fitness for a particular purpose, or non-infringement.

Well Fred does not warrant that:

• the Platform will be uninterrupted, secure, or error-free;
• any listing, Provider, or User will meet your expectations; or
• any transaction will occur as intended.

You use the Platform at your own risk.

To the maximum extent permitted by law, Well Fred Inc., its officers, directors, employees, contractors, and affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or goodwill arising out of or related to your use of the Platform.

Our total aggregate liability for any claim shall not exceed USD 100 or the total fees you paid to Well Fred in the 12 months preceding the claim, whichever is lower.

Some jurisdictions do not allow certain exclusions or limitations of liability; in those cases, the limits apply to the fullest extent permitted.

You agree to indemnify and hold harmless Well Fred Inc. and its affiliates from any claims, damages, or expenses (including reasonable attorneys' fees) arising out of your use of the Platform, your violation of these Terms, or your infringement of another's rights.

We may suspend or terminate your account at any time for violation of these Terms, our Community Guidelines, or applicable law.

Upon termination, your right to use the Platform immediately ceases, but provisions that by their nature should survive (e.g., liability limitations, indemnification) will remain in effect.

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-laws principles.

However, for users and transactions occurring within Costa Rica, the substantive consumer and commercial laws of Costa Rica may also apply.
